Welcome to Resurgir Academy.

These Terms of Use ("Terms", "Terms of Use" or "Agreement") govern your access to and use of the Resurgir Academy website, learning platform, applications, courses, programmes, certificates, assessments, learning materials, digital resources, communities, subscriptions, and related products and services (collectively, the "Services").

Resurgir Academy is operated by Resurgir Consulting ("Resurgir", "Resurgir Academy", "we", "us" or "our").

By accessing, browsing, registering for an account, purchasing a course or subscription, enrolling in a programme, submitting an assessment, accessing learning content, or otherwise using the Services, you agree to be legally bound by these Terms and all policies referenced in them.

If you do not agree to these Terms, you must not use the Services.

These Terms, together with our Privacy Policy, Acceptable Use Policy, Refund and Cancellation Policy, Honor Code/Academic Integrity Policy, Copyright and Intellectual Property Policy, and any course- or programme-specific terms, form the agreement between you and Resurgir Academy.

1. DEFINITIONS

For purposes of these Terms:

"Academy" means Resurgir Academy and its associated learning platform and services.

"Account" means the account created by a learner or other authorised user to access the Services.

"Business Day" means a day other than a Saturday, Sunday, or public holiday in the Federal Republic of Nigeria.

"Content" means courses, lessons, videos, text, graphics, images, audio, assessments, quizzes, assignments, templates, presentations, downloadable materials, software, databases, documents, and other materials made available through the Academy.

"Course" means an individual educational offering available through the Academy.

"Programme" means a structured collection of courses, levels, pathways, certifications, or other learning experiences.

"Learner" ", "you" or "your" means any individual who accesses or uses the Services.

"User Content" means information, text, assignments, projects, comments, reviews, questions, feedback, uploads, submissions, or other material submitted, posted, uploaded, or otherwise provided by a user.

"Certificate" means a digital or physical certificate issued by Resurgir Academy confirming that specified completion requirements have been satisfied.

"Pathway" means a structured professional development route consisting of courses and/or levels designed around a particular professional or skills area.

2. ACCEPTANCE OF THESE TERMS

By using the Services, you confirm that:

  • You have read and understood these Terms.
  • You agree to comply with them.
  • You will comply with all applicable laws.
  • The information you provide to us is accurate and complete.
  • You will update your information when necessary.
  • You are legally capable of entering into this agreement under applicable law.
  • You will use the Services only for lawful and authorised purposes.

If you are accessing the Academy on behalf of a company, organisation, school, employer, or other entity, you represent that you have authority to bind that entity to these Terms.

3. ELIGIBILITY

The Academy may impose age restrictions on particular Services, courses, programmes, assessments, or certifications.

Unless otherwise stated, users must be at least 18 years old, or otherwise have the legal capacity or appropriate parental/guardian authorisation required under applicable law.

Where a learner is under 18 and parental or guardian authorisation is required, that authorisation must be given by the parent or legal guardian through one of the following:

  • Completing and submitting the Academy's parental consent form prior to account activation;
  • Creating and verifying the learner's account under a linked parent or guardian account; or
  • Providing written consent directly to Resurgir Academy at the contact details in Section 60, which we will retain on file.

We may decline to activate or may suspend an account where required parental or guardian authorisation has not been satisfactorily provided.

Certain courses may have additional eligibility requirements.

We reserve the right to restrict access to a particular course, programme, assessment, certification, or feature where eligibility requirements have not been satisfied.

4. RESURGIR ACADEMY IS A PROFESSIONAL DEVELOPMENT PLATFORM

Resurgir Academy provides educational and professional-development content.

The Academy does not guarantee that completing a course, programme, pathway, assessment, or certificate will result in:

  • employment
  • promotion
  • salary increases
  • admission to an educational institution
  • professional licensing
  • professional accreditation
  • immigration approval
  • business success
  • professional registration
  • certification by an external professional body
  • any particular career or financial outcome

Learners are responsible for determining whether a particular course or programme meets their personal, academic, professional, regulatory, or career requirements.

Unless expressly stated otherwise, completion of a Resurgir Academy course does not constitute an academic degree, university qualification, government licence, statutory professional licence, or qualification issued by an external accreditation body.

5. THE RESURGIR PROFESSIONAL PATHWAY SYSTEM

Resurgir Academy may organise learning into professional pathways, levels, courses, modules, assessments, and other structured learning experiences.

The Academy may introduce, modify, expand, reorganise, rename, retire, or discontinue pathways, courses, modules, assessments, or other learning offerings.

A pathway or programme may contain courses that are:

  • currently available
  • published
  • in development
  • coming soon
  • temporarily unavailable
  • archived
  • discontinued

Only courses and programmes expressly identified as available for enrolment may be purchased or enrolled in.

Descriptions of future or planned courses do not constitute a promise that such courses will be released by a particular date or at all.

6. COURSE CONTENT

We seek to provide accurate, useful, current, and professionally relevant educational content.

However, educational content may contain errors, omissions, outdated information, differing professional opinions, or information that becomes outdated over time.

Resurgir Academy reserves the right to:

  • correct errors
  • update content
  • revise lessons
  • replace materials
  • modify assessments
  • update examples
  • change instructors or contributors
  • restructure courses
  • improve learning experiences
  • make other reasonable changes to the Services

Where reasonably practicable, we will seek to preserve the substantial educational value of purchased or enrolled content.

7. NO GUARANTEE OF CONTINUOUS AVAILABILITY

We do not guarantee that:

  • the Academy will always be available
  • every course will always remain available
  • every feature will remain unchanged
  • every video, document, link, integration, or third-party service will always function
  • the Services will be uninterrupted or error-free
  • access will be available in every location

Services may occasionally be unavailable because of maintenance, upgrades, technical problems, security incidents, third-party failures, internet disruptions, force majeure events, or other circumstances.

8. ACCOUNT REGISTRATION

Certain Services require an account.

You agree to provide accurate and complete information when creating an account.

You are responsible for:

  • maintaining accurate account information
  • protecting your password
  • maintaining the confidentiality of your login credentials
  • all activity conducted through your account
  • notifying us promptly of unauthorised access

You must not knowingly allow another person to use your account.

You may not create an account using another person's identity or impersonate another person or organisation.

We may require identity or account verification where reasonably necessary to protect the Academy, its users, payments, assessments, certificates, or other Services.

9. ACCOUNT SHARING

Your account is personal to you unless a separate organisational or group licence expressly provides otherwise.

You must not:

  • share your password
  • sell access to your account
  • transfer your account
  • allow another person to complete courses using your account
  • provide your login credentials to another person
  • allow multiple people to use an individual learner account
  • circumvent account or access restrictions

Organisations purchasing group or corporate access may be subject to separate terms.

10. COURSE ENROLMENT AND ACCESS

When you enrol in a course or programme, you receive a limited right to access the relevant Content subject to:

  • your payment status
  • subscription status
  • eligibility requirements
  • these Terms
  • applicable course rules
  • any stated access period

Course access is a licence to use the Content, not a sale or transfer of ownership of the Content.

Unless expressly stated otherwise, your access does not give you ownership of any course materials.

11. SUBSCRIPTIONS

Where the Academy offers subscriptions, the applicable subscription page or checkout process will specify:

  • subscription price
  • billing frequency
  • included Services
  • applicable access period
  • renewal terms
  • cancellation terms
  • any applicable limitations

Unless expressly stated otherwise, subscriptions may automatically renew until cancelled.

You are responsible for cancelling a subscription before the next billing period if you do not wish to continue.

Cancellation may stop future charges without necessarily creating an entitlement to a refund for amounts already paid.

12. PRICES AND PAYMENTS

Prices are displayed at the time of purchase and may be stated in Nigerian Naira or another currency supported by the Academy.

Prices may change from time to time.

A price change will not alter a transaction that has already been completed unless otherwise required by law or expressly agreed.

You are responsible for providing a valid payment method and paying applicable charges when due.

We may use third-party payment processors to process transactions.

13. TAXES AND CHARGES

You may be responsible for applicable taxes, bank charges, payment-processing charges, currency-conversion fees, or other charges associated with your purchase, where applicable.

14. REFUNDS AND CANCELLATIONS

Refunds and cancellations are governed by the Resurgir Academy Refund and Cancellation Policy applicable to the relevant purchase.

Different products may have different refund terms.

Where permitted by law, Resurgir Academy may consider factors including:

  • the type of product purchased
  • whether substantial course content has been accessed
  • whether a certificate has already been issued
  • whether the purchase was promotional
  • whether repeated refund requests have been made
  • whether the account has violated these Terms
  • whether the relevant product is refundable under its stated terms

Nothing in this section removes rights that cannot lawfully be excluded.

15. CERTIFICATES

Where a course or programme provides a certificate, the learner must satisfy the applicable completion requirements.

Completion requirements may include:

  • completing required modules
  • passing assessments
  • achieving a minimum score
  • completing assignments
  • satisfying attendance or participation requirements
  • completing required projects
  • satisfying other requirements stated for the relevant course

A certificate confirms that the learner satisfied the stated requirements for that particular Academy offering.

A certificate does not, by itself, guarantee employment, professional competence, licensing, accreditation, promotion, salary advancement, or acceptance by another institution or employer.

16. CERTIFICATE VERIFICATION

Resurgir Academy may maintain records necessary to verify certificates.

We may provide limited certificate-verification information to employers, institutions, clients, or other authorised parties where reasonably necessary and legally permitted.

We may revoke, suspend, correct, or invalidate a certificate where:

  • it was issued in error
  • the completion requirements were not actually satisfied
  • academic misconduct occurred
  • fraud or impersonation occurred
  • the certificate was obtained through unauthorised means
  • other circumstances justify revocation under applicable policies

17. ACADEMIC INTEGRITY AND HONOR CODE

Learners are expected to complete assessments and learning activities honestly.

You must not:

  • plagiarise
  • impersonate another learner
  • submit another person's work as your own
  • purchase work from another person
  • have another person complete an assessment for you
  • falsely represent your course completion
  • manipulate assessment results
  • share restricted assessment answers
  • improperly collaborate where independent work is required
  • use unauthorised materials or tools where prohibited
  • falsify documents or evidence
  • circumvent assessment controls
  • otherwise obtain an unfair advantage

Specific courses may impose additional academic-integrity requirements.

Violations may result in:

  • warnings
  • assessment cancellation
  • removal of submitted work
  • loss of marks
  • withholding of certificates
  • certificate revocation
  • suspension
  • termination of an account
  • loss of course access
  • other appropriate action

Refunds may not be available following termination resulting from academic misconduct, fraud, or material violation of these Terms, subject to applicable law.

18. USE OF ARTIFICIAL INTELLIGENCE

Resurgir Academy may use artificial intelligence ("AI") technologies in certain aspects of the Services, including learning recommendations, customer support, content development, assessment support, search, personalisation, analytics, or other features.

Where AI tools are made available to learners, you remain responsible for reviewing and verifying AI-generated information.

AI output may be inaccurate, incomplete, outdated, biased, or unsuitable for a particular purpose.

Unless expressly permitted by a course or assessment, you must not use AI tools to circumvent academic-integrity requirements.

Where an assessment requires original independent work, submitting AI-generated material as your own may constitute academic misconduct.

We may introduce new AI-enabled features in the future and may establish additional AI-specific rules.

19. YOUR CONTENT

You retain ownership of intellectual property rights you lawfully hold in User Content that you submit to the Academy.

However, by submitting User Content, you grant Resurgir Academy a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, process, display, transmit, and otherwise use that User Content solely to the extent reasonably necessary to:

  • provide the Services
  • administer courses
  • assess submissions
  • provide customer support
  • maintain the platform
  • protect platform security
  • improve the Services
  • comply with legal obligations
  • enforce our policies

We will handle personal information in accordance with our Privacy Policy.

20. FEEDBACK

If you provide suggestions, ideas, recommendations, reviews, comments, or other feedback regarding the Academy ("Feedback"), you acknowledge that we may use that Feedback without payment or obligation to you, provided that such use is lawful and does not improperly disclose your confidential personal information.

Feedback may be used to:

  • improve courses
  • develop products
  • improve technology
  • improve customer experience
  • develop new features
  • improve Academy operations

21. INTELLECTUAL PROPERTY

All Academy Content and Services, except User Content and properly licensed third-party materials, are owned by or licensed to Resurgir Academy or Resurgir Consulting.

This includes, without limitation:

  • course materials
  • videos
  • written materials
  • graphics
  • presentations
  • templates
  • assessments
  • quizzes
  • question banks
  • course structures
  • pathway structures
  • learning frameworks
  • software
  • databases
  • website design
  • Academy branding
  • logos
  • trademarks
  • service marks
  • trade names
  • methodologies
  • proprietary frameworks
  • other Academy materials

Your use of the Academy does not transfer ownership of any intellectual property to you.

22. LIMITED LICENCE TO ACCESS CONTENT

Subject to these Terms, Resurgir Academy grants you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use purchased or authorised Content for your own legitimate educational and professional-development purposes.

You must not, unless expressly authorised in writing:

  • copy substantial portions of Content
  • reproduce courses
  • sell Content
  • resell access
  • redistribute Content
  • publish Content elsewhere
  • upload Content to another platform
  • commercially exploit Content
  • create competing courses substantially based on Academy Content
  • remove copyright notices
  • circumvent technological access controls
  • record restricted course sessions for redistribution
  • provide Content to persons who have not been authorised to access it

23. DOWNLOADABLE MATERIALS

Where downloadable materials are provided, downloading them does not transfer ownership to you.

Downloads may be used only for the purposes permitted by these Terms and any specific licence accompanying the material.

24. COPYRIGHT AND TRADEMARK PROTECTION

Resurgir Academy respects intellectual-property rights and expects users to do the same.

You must not upload, submit, publish, or distribute material that infringes another person's copyright, trademark, patent, privacy, publicity, or other legal rights.

We may remove allegedly infringing material and may suspend or terminate accounts of users who repeatedly or materially infringe intellectual-property rights.

If you believe material on the Academy infringes your intellectual property rights, you may submit a takedown request to Inquiries@resurgirconsulting.com. Your request should include:

  • identification of the work you claim has been infringed;
  • identification of the material you claim is infringing, with enough detail for us to locate it;
  • your contact details;
  • a statement that you have a good-faith belief the use is unauthorised; and
  • a statement, made under penalty of applicable law, that the information you have provided is accurate and that you are the rights holder or authorised to act on their behalf.

We will acknowledge a properly submitted takedown request within 5 Business Days and aim to complete our review within 15 Business Days of acknowledgement, and will notify the party who submitted the material where reasonably practicable.

25. ACCEPTABLE USE

You may use the Academy only for lawful and authorised purposes.

You must not use the Services to:

  • violate any law
  • harass, threaten, abuse, or intimidate others
  • distribute malware
  • commit fraud
  • impersonate another person
  • attempt unauthorised access
  • interfere with platform security
  • disrupt the Services
  • spam users
  • scrape Academy content
  • use bots to access restricted areas
  • reverse engineer the platform
  • circumvent payment or access controls
  • bypass technological protection measures
  • collect other users' personal information without authorisation
  • upload harmful or unlawful material
  • distribute unauthorised advertising
  • exploit vulnerabilities without permission
  • assist another person in doing any prohibited activity

26. SCRAPING, DATA MINING AND AI TRAINING

Without our prior written permission, you may not use automated or manual methods to:

  • scrape Academy Content
  • harvest course materials
  • systematically extract Academy data
  • reproduce course databases
  • perform unauthorised text or data mining
  • collect learner information
  • train artificial intelligence or machine-learning models using Academy Content
  • create datasets from Academy Content
  • create competing automated learning products using Academy Content
  • systematically reproduce or mirror the Academy

This restriction does not prohibit activities that cannot lawfully be restricted under applicable law.

27. COMMUNITY FEATURES AND USER INTERACTION

The Academy may introduce forums, communities, discussion areas, comments, learner groups, messaging, peer interaction, or other community features.

Users must communicate respectfully and lawfully.

We may remove content or restrict access where reasonably necessary to:

  • protect users
  • enforce these Terms
  • prevent abuse
  • protect intellectual property
  • prevent unlawful conduct
  • maintain platform integrity
  • comply with legal obligations

28. USER CONTENT RESPONSIBILITY

You are responsible for the User Content you submit.

You represent that you have the necessary rights and permissions to submit it.

You must not submit content that:

  • infringes another person's rights
  • contains unlawful material
  • contains malicious software
  • impersonates another person
  • contains confidential information you are not authorised to disclose
  • violates privacy rights
  • constitutes harassment or threats
  • otherwise violates these Terms

29. REVIEWS AND TESTIMONIALS

If you voluntarily provide a review or testimonial, we may use it to promote or improve the Academy where legally permitted.

Where required by law, we will seek appropriate permission before using personally identifiable testimonials for promotional purposes.

You must not submit fake, misleading, paid-for, or deliberately deceptive reviews.

30. PERSONAL DATA

Our collection and use of personal information is governed by our Privacy Policy and by the Nigeria Data Protection Act 2023 and its subsidiary regulations.

By using the Academy, you acknowledge that personal information may be processed for purposes including:

  • account administration
  • course delivery
  • learning progress
  • assessment
  • certification
  • customer support
  • payments
  • security
  • fraud prevention
  • analytics
  • personalisation
  • service improvement
  • communications
  • research
  • business administration
  • legal compliance
  • other lawful purposes described in our Privacy Policy

Where the Nigeria Data Protection Act 2023 applies to our processing of your personal information, you may have rights including the right to access, correct, or request deletion of your data, and to lodge a complaint with the Nigeria Data Protection Commission. Further detail is set out in our Privacy Policy.

31. THIRD-PARTY SERVICES

The Academy may use third-party services for:

  • payments
  • hosting
  • analytics
  • authentication
  • email
  • communications
  • video delivery
  • cloud storage
  • customer support
  • security
  • AI functionality
  • other technology services

Third-party services may have their own terms and privacy policies.

We are not responsible for third-party services that we do not control, except to the extent liability cannot lawfully be excluded.

32. EXTERNAL LINKS

The Academy may contain links to external websites.

Such links are provided for convenience or informational purposes.

We do not necessarily endorse or control external websites and are not responsible for their content, availability, security, or privacy practices.

33. EMPLOYMENT AND CAREER INFORMATION

Some Academy courses may contain information relating to recruitment, employment, careers, human resources, business, professional practice, or workplace matters.

Such information is educational in nature.

It should not be treated as legal, tax, immigration, financial, medical, regulatory, or other professional advice unless expressly stated otherwise.

You are responsible for obtaining appropriate professional advice where necessary.

34. PROFESSIONAL AND REGULATORY DISCLAIMERS

Completion of an Academy course does not automatically satisfy the requirements of:

  • an employer
  • professional association
  • licensing authority
  • regulator
  • university
  • government agency
  • immigration authority
  • accreditation organisation
  • other third party

You are responsible for independently confirming whether an Academy course or certificate is recognised for your intended purpose.

35. BUSINESS AND CORPORATE USERS

Resurgir Academy may provide Services to employers, organisations, schools, institutions, training partners, or other entities.

Corporate or institutional users may be subject to separate agreements.

Where separate written terms exist between Resurgir and an organisation, those terms may govern the organisation's use of the Services.

Individual learners accessing the Academy through an organisation may still be required to comply with these Terms and applicable course policies.

36. FREE COURSES AND FREE TRIALS

We may offer free courses, free resources, promotional access, discounts, scholarships, trials, or other offers.

We reserve the right to:

  • impose eligibility requirements
  • limit availability
  • modify an offer
  • withdraw an offer
  • prevent abuse
  • restrict repeated use of promotional offers
  • terminate promotional access

Unless expressly stated otherwise, free access does not create a permanent entitlement to the relevant Content.

37. PROMOTIONAL OFFERS

Promotional pricing, discounts, coupons, scholarships, and other special offers may have additional conditions.

Unless otherwise stated:

  • offers may not be combined
  • offers may be limited to one use per person
  • offers may expire
  • offers may not be transferable
  • offers have no cash value

We reserve the right to correct pricing or promotional errors.

38. CHANGES TO THE ACADEMY

We are continuously developing the Academy.

We may:

  • add courses
  • remove courses
  • introduce new pathways
  • change pathway structures
  • add new features
  • modify existing features
  • change technology
  • introduce AI functionality
  • change pricing for future purchases
  • modify assessment methods
  • introduce new certificate types
  • discontinue obsolete features
  • change service providers
  • otherwise modify the Services

Nothing in these Terms guarantees that any particular feature or course will remain permanently available.

39. COURSE AND PLATFORM RETIREMENT

We may retire or archive courses or other Content where reasonably necessary.

Where practical, we may provide notice before permanently removing substantial purchased Content.

Where applicable and legally required, we may provide reasonable alternatives or other remedies.

Nothing in this section limits rights that cannot legally be excluded.

40. SUSPENSION AND TERMINATION

We may suspend, restrict, or terminate your account or access to all or part of the Services where reasonably necessary, including if:

  • you violate these Terms
  • you violate an Academy policy
  • you engage in fraud
  • you engage in academic misconduct
  • you misuse the platform
  • you compromise platform security
  • your payment obligations remain unpaid
  • your conduct creates risk to other users or the Academy
  • you unlawfully use Academy Content
  • you attempt to circumvent access restrictions
  • we are legally required to do so

We may also suspend access temporarily while investigating suspected violations.

41. EFFECT OF TERMINATION

Upon termination:

  • your right to access affected Services may end
  • your licence to use restricted Academy Content ends
  • you must cease unauthorised use of Academy materials
  • unpaid amounts may remain payable
  • provisions that by their nature should survive termination will continue to apply

Termination does not automatically erase information that we are legally or legitimately entitled or required to retain.

42. OUR RIGHT TO REMOVE CONTENT

We may remove, restrict, modify, disable access to, or refuse to publish User Content where we reasonably believe it:

  • violates these Terms
  • violates applicable law
  • infringes another person's rights
  • creates security risks
  • contains malicious material
  • is fraudulent
  • is abusive
  • is misleading
  • otherwise presents a legitimate risk to the Academy or its users

43. SECURITY

We take reasonable measures to protect the Academy and user information.

However, no online system is completely secure.

You acknowledge that:

  • internet transmission carries inherent risks
  • no platform can guarantee absolute security
  • you are responsible for protecting your login credentials
  • you should notify us promptly of suspected unauthorised access

44. NO WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

WE DO NOT GUARANTEE THAT THE SERVICES OR CONTENT WILL ALWAYS BE:

  • ACCURATE
  • COMPLETE
  • CURRENT
  • ERROR-FREE
  • UNINTERRUPTED
  • SECURE
  • AVAILABLE AT ALL TIMES
  • SUITABLE FOR YOUR PARTICULAR PURPOSE

WE DISCLAIM WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

NOTHING IN THESE TERMS EXCLUDES A WARRANTY OR RIGHT THAT CANNOT LAWFULLY BE EXCLUDED.

45. EDUCATIONAL DISCLAIMER

The Academy provides educational information and professional-development resources.

Educational information should not be treated as a guarantee of a particular professional outcome.

You remain responsible for independently evaluating and applying information obtained through the Academy.

46. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RESURGIR ACADEMY, RESURGIR CONSULTING, AND THEIR DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, INSTRUCTORS, PARTNERS, SERVICE PROVIDERS, AND REPRESENTATIVES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE LOSS OR DAMAGE ARISING FROM OR RELATING TO YOUR USE OF THE SERVICES.

THIS MAY INCLUDE, TO THE EXTENT PERMITTED BY LAW:

  • LOSS OF PROFITS
  • LOSS OF BUSINESS
  • LOSS OF OPPORTUNITY
  • LOSS OF REVENUE
  • LOSS OF GOODWILL
  • LOSS OF EXPECTED CAREER BENEFITS
  • LOSS OF DATA
  • OTHER INDIRECT LOSSES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING FROM A PARTICULAR PAID SERVICE SHALL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID TO RESURGIR ACADEMY FOR THAT SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Nothing in these Terms limits liability that cannot legally be limited or excluded under applicable law.

47. INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless Resurgir Academy, Resurgir Consulting, and their directors, officers, employees, contractors, representatives, and service providers from claims, losses, liabilities, damages, costs, and reasonable expenses arising from:

  • your material violation of these Terms
  • your unlawful use of the Services
  • your User Content
  • your infringement of another person's rights
  • your fraud or intentional misconduct
  • your violation of applicable law

This provision does not require you to indemnify Resurgir for losses caused by Resurgir's own conduct where such indemnification would be unlawful.

48. FORCE MAJEURE

We will not be responsible for delay or failure to perform obligations caused by circumstances beyond our reasonable control.

These circumstances may include:

  • natural disasters
  • epidemics or pandemics
  • power failures
  • internet failures
  • telecommunications failures
  • cyber incidents
  • government action
  • civil unrest
  • war
  • labour disputes
  • third-party service failures
  • infrastructure failures
  • other events beyond our reasonable control

A force majeure event affecting our ability to deliver a subscription or course does not by itself entitle a learner to a refund, but we will act reasonably in extending access periods or providing alternative arrangements where practical.

49. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria, subject to any mandatory consumer-protection or other applicable laws that cannot lawfully be excluded.

Subject to Section 50, the courts of Lagos State, Nigeria shall have non-exclusive jurisdiction to hear any claim arising out of or in connection with these Terms, without prejudice to a consumer's right to bring proceedings in their own jurisdiction where mandatory law so requires.

50. DISPUTE RESOLUTION

If you have a dispute with Resurgir Academy, we encourage you to contact us first so that we can attempt to resolve the matter informally.

You should provide:

  • your name
  • account email
  • relevant transaction or course information
  • a description of the issue
  • the resolution you are seeking

We will acknowledge your complaint within 5 Business Days and will make reasonable efforts to investigate and resolve legitimate complaints within 30 Business Days of acknowledgement, though complex matters may take longer.

If the dispute cannot be resolved informally, either party may refer the matter to mediation or arbitration under the Arbitration and Mediation Act 2023, or pursue the remedies available under applicable Nigerian law before a court or other competent dispute-resolution body, in either case seated in Lagos, Nigeria unless the parties agree otherwise.

Nothing in these Terms prevents a consumer from exercising a mandatory statutory right.

51. CHANGES TO THESE TERMS

We may update these Terms from time to time.

Changes may be necessary because of:

  • changes to our Services
  • changes in technology
  • new products
  • changes in business practices
  • legal or regulatory requirements
  • security considerations
  • other legitimate business reasons

For material changes, we may provide notice through the Academy, email, account notifications, or other reasonable means.

The updated Terms will state their effective date.

Your continued use of the Services after the effective date of updated Terms may constitute acceptance of the revised Terms to the extent permitted by law.

52. SEVERABILITY

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it enforceable where legally possible.

The remaining provisions will continue in effect.

53. NO WAIVER

If we do not immediately enforce a provision of these Terms, that does not mean we have permanently waived our right to enforce it later.

54. ASSIGNMENT

You may not transfer or assign your rights or obligations under these Terms without our prior written consent.

We may transfer or assign our rights and obligations in connection with a merger, restructuring, acquisition, sale of assets, corporate reorganisation, or similar transaction, subject to applicable law.

55. ENTIRE AGREEMENT

These Terms, together with the policies expressly incorporated into them and any applicable written agreements, constitute the agreement governing your use of the Services.

If a specific written agreement applies to a particular service and conflicts with these Terms, the specific agreement may prevail for that service to the extent expressly stated.

56. NO EMPLOYMENT, AGENCY OR PARTNERSHIP

Your use of Resurgir Academy does not create:

  • an employment relationship
  • agency relationship
  • partnership
  • joint venture
  • franchise relationship
  • fiduciary relationship

between you and Resurgir Academy or Resurgir Consulting.

57. NO GUARANTEE OF PROFESSIONAL COMPETENCE

Completion of a course does not independently establish that a learner possesses every skill required to perform a particular job or professional function.

Employers, clients, regulators, professional bodies, and other third parties remain responsible for determining whether an individual's education, skills, experience, or qualifications meet their requirements.

58. THIRD-PARTY BENEFICIARIES

Except where expressly stated otherwise, these Terms do not create enforceable rights in favour of third parties.

59. NOTICES

We may provide notices to you through:

  • your registered email address
  • your Academy account
  • notifications within the platform
  • the Academy website
  • other reasonable communication methods

You are responsible for keeping your contact information current.

Legal notices to Resurgir Academy should be sent to the contact details in Section 60. Notice is deemed received on the next Business Day after email transmission, absent evidence to the contrary.

62. FINAL ACKNOWLEDGEMENT

BY USING RESURGIR ACADEMY, YOU ACKNOWLEDGE THAT YOU HAVE HAD THE OPPORTUNITY TO READ THESE TERMS, UNDERSTAND THEIR CONTENT, AND AGREE TO BE BOUND BY THEM.

IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICES.
